- "Client", "you", "your" — the individual or business entity using our website or engaging our services.
- "Services" — the AI consulting and advisory services offered by Pelita, including but not limited to the three packages described on our website.

- "Agreement" — these Terms and Conditions together with any service proposal or engagement letter agreed separately.
- "Content" — all text, images, documents, and other materials published on the Website.
2. Acceptance of Terms
By using the Website or by entering into a service arrangement with Pelita, you confirm that you are at least 18 years of age, have the legal capacity to enter into this Agreement, and agree to be bound by these Terms. If you are acting on behalf of a business, you represent that you have authority to bind that business.
If you do not agree with any part of these Terms, please do not use the Website or engage our Services.
3. Service Description
Pelita provides AI integration consulting services to small businesses in Malaysia. Our current service offerings are:
- AI Readiness Conversation (RM 580) — a 90-minute advisory session for business owners curious about AI.
- Workflow Integration Support (RM 1,290) — a three-to-four week hands-on support package to introduce practical AI tools.
- Steady Guidance Retainer (RM 2,280/month) — ongoing monthly advisory support for businesses seeking continuity of guidance.
Services are delivered primarily in Kuala Lumpur and the Klang Valley, though remote delivery is available by arrangement. We reserve the right to adjust our service offerings with reasonable notice.
4. User Responsibilities
When using our Website or working with us, you agree to:
- Provide accurate information when contacting us or entering into a service arrangement
- Not use the Website for any unlawful or fraudulent purpose
- Not attempt to gain unauthorised access to any part of the Website or its systems
- Not reproduce, distribute, or modify our Content without written permission
- Cooperate reasonably with us during service delivery (e.g. attending scheduled sessions, providing access to relevant information)
5. Intellectual Property
All Content on the Website — including text, graphics, logos, and page layouts — is the property of Pelita or its licensors and is protected under applicable Malaysian intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to view and use the Website for your own personal or business information purposes only.
Deliverables created specifically for you as part of a paid service engagement (such as written summaries or workflow documentation) become yours upon full payment. Pelita retains the right to use anonymised, non-identifiable insights from client engagements to improve our services.
6. Payment Terms
Fees and currency
All fees are quoted and payable in Malaysian Ringgit (RM). The prices listed on our website are inclusive of applicable taxes unless otherwise stated.
Payment method and schedule
Payment terms for each engagement are agreed at the time of booking. For one-off services, full payment is typically required before the session takes place. For the retainer service, a monthly fee is invoiced at the start of each month.
Cancellation and rescheduling
We understand that plans change. If you need to cancel or reschedule, please give us at least 48 hours' notice. Sessions cancelled with less than 48 hours' notice may not be eligible for a refund, though we will consider individual circumstances and aim to be fair.
Retainer pausing
The Steady Guidance Retainer may be paused by providing written notice before the next billing date. There is no penalty for pausing.
7. Service-Specific Terms
Scope and changes
The scope of each engagement is discussed and agreed before work begins. If your needs change during a project, we will discuss what adjustments are possible and whether any change in fee applies. We aim to be flexible within reason.
Confidentiality
We treat all information shared with us during a service engagement as confidential. We will not disclose your business information to third parties without your consent, except as required by law.
Timeline expectations
Timelines outlined in service descriptions are indicative. Actual delivery depends on factors including your team's availability and the complexity of your situation. We will communicate openly if timelines need to shift.
8. Disclaimers
The Website and its Content are provided for general informational purposes only and on an "as is" basis. While we take care to keep information accurate and up to date, we make no representations about the completeness or reliability of any Content.
Our consulting advice reflects our professional judgment based on information you share with us. We do not warrant that any particular outcome will result from following our recommendations. Business results depend on many factors outside our control, and we do not promise specific commercial results.
Any references to third-party AI tools or platforms on our website are for illustrative purposes. We are not affiliated with those platforms unless stated, and their availability or pricing may change independently of us.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Pelita's total liability to you in connection with any service engagement shall not exceed the total fees paid by you for the relevant service in the preceding three months.
We shall not be liable for:
- Loss of profit, revenue, or business opportunity
- Indirect or consequential losses
- Losses arising from events beyond our reasonable control (force majeure), including power outages, connectivity failures, or natural disasters
- Your reliance on third-party tools or platforms we have mentioned or recommended
Nothing in these Terms excludes liability for death, personal injury, or fraud caused by our negligence, or any other liability that cannot be excluded under Malaysian law.
10. Indemnification
You agree to indemnify and hold Pelita harmless from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or any unlawful activity in connection with your use of our Services.
11. Termination
Either party may end an ongoing service engagement by providing reasonable written notice. "Reasonable" in most cases means 14 days, though a shorter period may be agreed for one-off sessions.
We reserve the right to terminate access to the Website or an engagement immediately if you breach these Terms or engage in conduct that is harmful or unlawful.
On termination, clauses relating to intellectual property, liability, indemnification, and dispute resolution continue to apply.
12. Dispute Resolution
Governing law
These Terms are governed by the laws of Malaysia. Any disputes arising from them shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Informal resolution
Before initiating any formal proceedings, we ask that you contact us to discuss the matter. We are committed to resolving disagreements in good faith and at an early stage wherever possible.
Mediation
If informal discussion does not resolve the matter, either party may refer it to mediation through the Malaysian Mediation Centre (MMC) before proceeding to litigation.
13. General Provisions
- Entire agreement: These Terms, together with any service proposal agreed separately, constitute the entire agreement between you and Pelita.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any right under these Terms at a given time does not waive our ability to do so in the future.
- Assignment: You may not transfer your rights or obligations under these Terms without our written consent. We may assign our rights in connection with a merger or sale of our business.
- Notices: Any formal notices should be sent in writing to our address or email listed in Section 15.
14. Changes to These Terms
We may revise these Terms from time to time. The "Last Updated" date at the top of this page will reflect any changes. Continued use of our Website or Services after an update means you accept the revised Terms. We will endeavour to notify existing clients of material changes directly.
